What You Need to Know About Franchising

Utah

Utah may be the second-driest state in terms of moisture annually, but the Beehive State is anything but dry when it comes to small businesses. Home to more than 300,000 of them, small businesses make up 99.3% of the state’s economy.

The State of Utah is a notice filing state. Before offering or selling a franchise in Utah, you must file a “Notice of Exemption” with the Utah Division of Consumer Protection. Your exemption notice must be renewed annually and the cost is $100.

If you’re looking to expand your franchise business in Utah, you’ve come to the right place. Navigating the complexities of franchise law requires specialized knowledge and a deep understanding of the regulatory landscape. Whether you’re drafting a Franchise Agreement, developing your Franchise Disclosure Document, ensuring regulatory compliance, or expanding your franchise system, our seasoned franchise lawyers are here to guide you every step of the way.

Franchise Agreement Drafting

The cornerstone of any successful franchisor-franchisee relationship is a well-drafted Franchise Agreement. This binding contract outlines the terms and conditions under which the franchisee will operate. At Spadea Lignana, our attorneys specialize in drafting Franchise Agreements that not only comply with federal and Utah state regulations but are also customized to protect your unique business interests.

A robust Franchise Agreement covers a myriad of critical elements including royalty payments, territory rights, training and support, and operational guidelines. By employing our services, you ensure that your agreement is comprehensive, clear, and minimizes any potential for conflict. Our precise drafting process protects you from legal pitfalls and sets the groundwork for a mutually beneficial franchise relationship.

Franchise Disclosure Document Services

The Franchise Disclosure Document (FDD) is a crucial document that franchisors are required to provide to prospective franchisees before any binding agreement is made. This document offers transparency, ensuring that potential franchisees have all the necessary information to make an informed decision.

Spadea Lignana offers extensive experience in preparing and reviewing FDDs to ensure full compliance with federal and Utah state laws. Our expert franchise lawyers meticulously compile all required disclosures, including financial statements, legal history, and franchisee obligations. We take pride in crafting FDDs that are not only compliant but also clear and comprehensive, fostering a transparent transactional process that builds trust between franchisors and franchisees.

Notes

Utah is a filing state where active franchisors with a compliant FDD qualify for an exemption from full registration.

The filing is an annual filing where no application is required, but we will need to provide your FEIN (for the franchisor entity) in order to create an online profile for your filings.

Both initial and renewal filings are completed online and payment may be made in the form of credit or debit card. You will be required to complete and submit a credit card authorization form to us before we will submit the filing for you. There are currently no transaction fees for Utah filings.

Utah does not require the submission of the FDD and filings are usually effective within a few days.

CORE

Flat Fee Program for Franchisors

Spadea Lignana’s CORE program for franchisors is a cost-effective and practical solution for the ongoing legal needs of franchisors, including but not limited to, FDD updates, state registrations and franchise agreement executions. Through a proprietary cloud-based system we can effectively and efficiently manage FDD Disclosures and Franchise Agreement executions for fair flat fees billed monthly. We believe that hourly billing, although necessary in certain circumstances like complex M&A deals and litigation, can weigh on the relationship between client and attorney.  By coming up with a fair flat monthly fee, the uncomfortable negotiating of whether or not a 6 minute increment in your bill for replying to an email was legitimate goes away.
