The FDD and the Franchise Agreement are both essential parts of the franchise process, but they do completely different things.
A lot of prospective franchisees spend weeks reading through the FDD and give the Franchise Agreement a quick scan at the end. That's an easy mistake to make. The FDD tells you about the opportunity. The Franchise Agreement is what actually governs your relationship with the franchisor once you sign.
If a dispute ever comes up down the road, it's the Franchise Agreement that matters. Knowing what's in it before you sign is one of the most important steps in the whole process.

Most franchisors think about their franchise documents from one perspective. The franchisee prospect. But there are actually two other audiences reading those same documents, and one of them could determine how much your entire system is worth one day.
Tom Spadea breaks down the three audiences every franchisor needs to keep in mind when building out their franchise documents, and why the third one might be the most important of all.

250 Years of Independence. Same Entrepreneurial Spirit.
This 4th of July marks the 250th anniversary of the Declaration of Independence. And while we celebrate the birth of a nation, it's worth looking at where its entrepreneurial spirit actually took root.
Benjamin Franklin is remembered as a Founding Father. But decades before 1776, he was already running a business model that looks strikingly familiar today.
Starting in the 1730s, Franklin began partnering with printers across the colonies. He supplied the press, the type, and the capital. His partners ran the shops. In return, Franklin typically took a share of the profits, often around a third, over a set term, commonly six years. He repeated this model again and again, building a network of print shops from Philadelphia to the Carolinas. Historians and franchise scholars widely point to this as one of the earliest franchise-style systems in American history.
Nearly 300 years later, the model hasn't changed much. Someone with drive builds something of their own, using a system that already works. That's franchising. And it's been woven into the American economy since before "American" was even a fully formed idea.
So here's to every franchisor and franchisee out there, building something that's truly theirs. Independence looks different in 2026 than it did in 1776. But the spirit behind it? Still the same.

Long before SaaS, long before streaming, franchising was already running on a successful subscription model.
You teach someone your business, they pay you a recurring fee based on their success, and as your system improves, everyone benefits. That's exactly how software works.
Tom Spadea breaks down why the smartest private equity firms have caught on to this, and why franchise valuations have skyrocketed because of it.
