Unlike many franchise attorneys who entered the industry strictly through the legal profession, Tom’s path into franchising started long before law school. He began as a small business owner and later worked as a franchise broker before joining Rita’s Italian Ice, where he eventually led franchise development and real estate efforts. That experience gave him a front-row seat to the operational realities of building a franchise system—something that continues to shape the advice he gives clients today.
Learning Franchising from the Inside Out
Over the years, Tom has seen franchising from nearly every angle: entrepreneur, franchise salesperson, development executive, consultant, and attorney. That perspective has shaped a philosophy centered on practical business guidance—not just legal theory.
“I love franchising and have seen firsthand the wealth generation potential for not only franchisees of well-run systems, but for the generational wealth creation potential for franchisors that build a great system that serves their franchisees. My biggest takeaway in all the years I have been involved in franchising is that this is a relationship business first and foremost. The franchisors who understand their role as coach and teacher, and also pay close attention to who they bring on as franchise owners, are leading indicators of whether or not they will build a great system”, said Tom Spadea when asked about the most important attributes of those who have found success in franchising.
While working full-time in franchising, Tom attended law school at night at Temple University Beasley School of Law. At the same time, his longtime friend Josh Lignana was also pursuing a career change into law. The two eventually combined their shared backgrounds in business and franchising to launch what would become Spadea Lignana Franchise Attorneys in 2012.
From the beginning, the goal was to create a different kind of franchise law firm—one grounded in business realities, long-term relationships, and strategic guidance that helps franchisors build sustainable systems.
What Decades in Franchise Law Have Taught Him
After working with hundreds of franchise brands nationwide, Tom has developed a deep understanding of the patterns that separate successful systems from struggling ones.

“Great franchisees are the foundation of all great systems. Franchisors who recruit instead of sell win in the long term. If your franchisees have what it takes to run a successful business, then the system itself will thrive.”
Through years of representing emerging and established franchisors, Tom has learned that growth alone is never the ultimate goal. Sustainable franchising requires the right infrastructure, the right franchisees, and leadership teams willing to continuously improve.

“New franchisors have to be laser-focused on recruiting the right franchisees. Those first few franchisees will set the tone and culture for the entire system over the long term. If they are getting value from being a franchisee, making money, and the franchisor is meeting and exceeding their expectations, then they will have built the foundation for growth. It’s not about selling units, it’s about opening and sustaining units with strong economic performance.”
His experience working both inside franchise organizations and alongside founders has given him a practical understanding of the challenges business owners face.
